MERGERS AND ACQUISITIONS - BUYING AND SELLING

TriPoint represents both buyers and sellers in merger and acquisition deals. We work to ensure that transactions are successfully completed with a structure that enables our clients to accomplish their goals. Reverse Mergers

TriPoint specializes in working closely with a select number of emerging growth companies seeking to become public via the reverse merger process. Through our extensive experience in these transactions we are able to provide critical advice in the identification of suitable merger candidates, due diligence review of such candidates and structure of the transaction to ensure that our clients choose the right partners and that their entry into the public markets is as successful as possible.

What is a Reverse Merger?

A "reverse merger" is a method by which a private company goes public. In a typical reverse merger, a private company merges with a public company that generally has no assets or liabilities. The publicly traded corporation is called a "shell" since all that exists of the original company is its corporate shell structure1. By merging into such an entity, a private company becomes public.

Through the merger, the private company\'s shareholders obtain the majority of the public company\'s stock (usually 90% or above). After the merger, the private company normally changes the name of the public company and appoints and elects its management and Board of Directors.

The fact that the public shell does not have any assets does not discount that it is a viable public company. Because the corporation previously went through the registration process with the SEC, it has shareholders, free trading stock, and is a public company. In essence, the corporation is never-ending.

Benefits of Reverse Mergers

A reverse merger has a number of advantages, which are outlined below in greater detail. Most notable is speed; a reverse merger allows a private company to become "public" within weeks or months, rather than years, as is the case with other going public transactions. In addition, going public through a reverse merger typically costs less and results in less stock dilution than through an initial public offering (IPO). While the process of going public and raising capital is combined in an IPO, these two functions are unbundled in a reverse merger; a private company can go public without raising additional capital. Because of this unbundling, the process of going public is greatly simplified.

Mark H. Elenowitz, Founder and Managing Director.

Mr. Elenowitz is a co-founder and managing director of TriPoint. Mr. Elenowitz is responsible for the overall corporate development of the firm and assisting our clients with high-level financial services and general business development. In this role he provides high level advice regarding corporate finance, corporate structure, SOX 404 compliance, employee option programs and capital market navigation including providing advice as a member of the board of directors.

Mr. Elenowitz integrates a strong, successful entrepreneurial background with extensive financial services and capital markets experience. Mr. Elenowitz has assisted in numerous companies in a "soup-to-nuts" process of preparing a company for the public markets, bringing them public and advising on an ongoing basis via board seats and executive positions to oversee further rounds of financing, strategic acquisitions and a broader investor market via a listing on "higher" securities exchange or market.

He was also the senior managing director of Investor Communications Company, LLC (ICC), a national investor relations firm he founded in 1996. Through ICC, Mr. Elenowitz has developed ongoing relationships with other investment banking firms, market makers, and analysts.

Mr. Elenowitz has worked with over 50 publicly traded companies providing the above mentioned financial consulting and strategic planning services.

Louis E. Taubman, Esq., Founder and Member.

Mr. Taubman is a co-founder and member in TriPoint. Mr. Taubman manages all legal aspects of the Company including strategic planning for the firm.

Prior to joining TriPoint, Mr. Taubman was a partner in the boutique securities law firm of Kogan Taubman & Neville, LLC. Prior to that Mr. Taubman served as an attorney in the legal department of Prudential Securities, Inc.

In addition to his position at TriPoint, Mr. Taubman is also General Counsel of TriPoint Global Equities, LLC, a FINRA member broker dealer. Additionally, Mr. Taubman is a member of Leser, Hunter, Taubman & Taubman, PLLC, a business law firm whose practice areas include securities transactions, securities litigation and defense, real estate transactions, intellectual property, tax litigation and general corporate law.

Mr. Taubman also holds a board of director position with an FINRA member firm. Mr. Taubman provides counsel to both issuers and underwriters with regard to public and private finance, securities registration under the Securities Act 1933, periodic reporting under the Securities Exchange Act of 1934, Williams Act reporting, M&A transactions and corporate governance issues.

Michael Boswell, Founder and Member.

Mr. Boswell is a co-founder and member in TriPoint. Mr. Boswell provides high-level financial services to start-up businesses and small to mid-sized companies, including holding executive and CFO positions with client companies.

With TriPoint he has assisted numerous companies by providing high level advice regarding corporate finance, corporate structure, corporate governance, mergers and acquisitions, SOX 404 compliance, implications of various SEC rules and FASB Emerging Issues Task Forces issues as they relate to private placements, SEC reporting and disclosure requirements, employee option programs and the overall reverse merger process.

Prior to the founding of TriPoint, Mr. Boswell had a number of executive positions focusing on business development and management consulting.

She subsequently attended St. John\'s University School of Law where she earned her JD in 2003.

Er (Arila) Zhou

Arila Zhou works as an associate counsel and provides assistance to meet Tripont\'s client\'s needs in regulatory compliance and company financing both in the U.S and China. She is also an associate of Hunter, Leser, Taubman & Taubman, PLLC.

Prior to joining the firm, Ms. Zhou conducted extensive research in corporate law and securities law and had fulfilled over 160,000 words translation between Chinese and English in this field. In China, Ms. Zhou had been an administrative agent at Nanjing Industry and Commerce Bureau for three years. Thereafter, she was engaged in several projects regarding improving corporate governance in China including drafting legislative proposal for PRC COMPANY LAW 2005.

Ms. Zhou graduated Nanjing University Law School with a Bachelor of Law and Peking University Law School with a Master of Law in China. Ms. Zhou graduated Vanderbilt University Law School with a Master of Law in 2008. Ms. Zhou is admitted to New York bar.

Qian (Hebe) Xu

Qian (Hebe) Xu is a junior analyst with Tripoint Advisors. Hebe directly interacts with Chinese companies to assist their performance as a public company in the U.S. by advising the clients on communication with regulators, auditors, attorneys, and other market professionals. Hebe also specializes in market/industry analysis, valuation analysis, and company due diligence. Before joining TriPoint, Hebe developed significant experience in sales and trading as a trading assistant for a high net-worth individual investor.

Hebe earned a Master of Arts in Economics from New York University and a Bachelor degree of telecommunication engineering with distinction from Sun Yat-Sen University (former Zhongshan) University. She is fluent in English, Mandarin, and Cantonese.

John Finley, Global Banking Specialist

Mr. Finley is responsible for relationships with issuers and providing them with advice on capital raising, financial instrument structuring and business development.

Prior to joining TriPoint, Mr. Finley was the primary broker/banker relationship manager at the management company for the Vision Opportunity Master Fund, Ltd hedge fund ("Vision"). Vision invests in structured equity and PIPE transactions. Mr. Finley also developed Vision\'s China initiative: over two months in China were spent in helping to close transactions and developing relationships with Chinese companies, bankers, and brokers.

Mr. Finley began his finance career in the Valuation Group at Deloitte & Touche in Los Angeles where he built the franchise team and designed computer models to value over $1 billion of franchised businesses for securitization.

Afterwards Mr. Finley spent five years at Deutsche Bank in New York as an investment banker to issuers of asset-backed securities. He managed the execution of over $4 billion of lead-managed credit card securitizations, performed financial analysis and due diligence on over $500 million of franchise loans for 144a private placement securitizations and analyzed capital structures and debt capacity of prospective LBO targets for financial buyers of franchised businesses.

After Deutsche Bank, Mr. Finley produced independent films, including the feature film Slippery Slope. He focused on the business side of producing by preparing budgets, business plans, performing market and financial analysis, raising funds, managing talent and negotiating contracts.

Mr. Finley is also the inventor of the high-end, monopoly-style board game Corporate Pursuit, for which he raised venture capital and marketed to up-scale stores including Bloomingdales.

Mr. Finley holds the Series 82 and Series 63 licenses and is also a member of the Investment Banking of TriPoint Global Equities, LLC, a FINRA member firm.

He earned a BA in History from the University of Rochester and an MBA in Finance from NYU.

James McCubbin, Financial Specialist

Mr. McCubbin is the chief financial officer of several public companies, where he is responsible for directing the financial operations of those companies. He has over fifteen years experience working with small and micro cap companies and seven years experience in public reporting and compliance with both 33 and 34 act.

He has hands-on experience dealing with the intricacies of small and micro cap business as it relates to situations involving areas of high and erratic growth, restructuring, mergers and acquisitions, corporate compliance and organizational development.

He has developed contacts and knowledge that assist small and micro cap companies in reducing expenses as they relate to corporate compliance and audit review, especially given the new constraints from Sarbanes-Oxley Act of 2002. His financial background is further enhanced with strong skills in the areas of human resources, contract administration, corporate insurance management, and project management and development.

While at WidePoint (AMEX: WYY), where Mr. McCubbin also serves as CFO, Mr. McCubbin has been instrumental in navigating the company through several negative events and realigning the company through both mergers and acquisitions and strategic financial management. During Mr. McCubbin\'s tenure at WidePoint, he has also assisted several other companies in business plan development and organizational development.

Prior to Mr. McCubbin\'s employment at WidePoint, he held various financial and management positions with a wide range of companies including Ernst & Young, Lockheed Martin, McBee Associates, Memtec Ltd. and Marmac Associates.

Mr. McCubbin is a graduate of the University of Maryland with a Bachelor of Science Degree in Finance and a Masters Degree in International Management.

JON JONES, Asian Banking Specialist

Mr. Jones currently resides in Taipei Taiwan and leads TriPoint\'s on the ground Asian due diligence team. Jon was educated at the University of Hawaii and attended law school at Louisiana State University.

He also graduated from Nanjing University in China where he was able to master reading, writing and fluent speaking in Mandarin Chinese.

Recently, Jon has been engaged in investment banking projects in Asia with a current focus on the Taiwanese market. Jon has completed several mergers, financings and successfully negotiated cooperative ventures with the largest Securities Investment Consulting companies in Taiwan.

Jon\'s specialty is effective cross culture leadership and precise communication with multinational groups particularly in corporate finance, securities brokerage and business consulting areas.

DR. IGOR S. ALEXANDROV, Technology Consultant

Dr. Igor S. Alexandrov is a senior analyst focusing on technology review of TriPoint clients. Dr. Alexandrov is an advisor and consultant to different institutional and individual investors and analytical groups such as Asian Technology Information Program (ATIP) in Japan, mostly in areas of high technology, natural resources and metallurgy of non-ferrous and precision metals, including rear earth and platinum group of metals (PGM).

In addition, he is an associate research fellow at Massachusetts Institute of Technology in the Science, Technology and Society Program, Technology, Policy and Global Security Group, focusing on different aspects of international and homeland security. Also he was a co-principal investigator and a panelist on the National Science Foundation (NSF) Proposals Evaluation Board, and served as a panelist at the Defense Advanced Research Projects Agency (DARPA).

Born in Moscow, Russia, Dr. Alexandrov immigrated to the United States under the Soviet Scientist Immigration Act, which granted "green cards" to leading Russian scientists. Shortly after the immigration he was invited to the EMC2 Corporation in Hopkinton, MA, as a principal system architect - director of the advanced technologies group - where he initiated and led a number of major projects by contracted companies. Later he was invited to the Stevens Institute of Technology in Hoboken, NJ, as an associate director of wireless network security center and research professor at the physics department.

Dr. Alexandrov was one of the pioneers-entrepreneurs in the former Soviet Union starting with "Perestroika" a few successful private businesses, such as Business Analytica - a consulting and marketing company, cited by The Financial Times as one of the top Russian private consulting and marketing firms.

The firm published the "Business Update Russia" newsletter - a marketing, information and financial newsletter, distributed internationally and domestically for over 10 years. He was a partner and a director at the Kobrin Film Studio - Independent Film and Computer Graphics Studio which won the highest Russian Film Award Nika (equivalent of the Oscar Award in the US). Before the "Perestroika" he was Executive VP for Technology of Almaz Corporation, Moscow, Russia (Raytheon-scale Russian space and avionics firm) At the Almaz he designed and managed several complex large scale multi-billion (in the USD) projects, such as the Russian "Star War" Anti-Satellite system (ASAT), Short Range Airborne Attack Missile Project (SRAM), and others.

Thomas Bostic-Smith, Communications Specialist

Thomas Bostic-Smith has been a Director of Investor Communications Company, LLC ("ICC") since 1996 and is National Director of Marketing and Research, a position dedicated to market research within the investment community.

He has over 13 years of industry experience as a consultant in gaining strategic access to the investment community and developing long-term marketing plans for corporate clients.

Mr. Bostic-Smith\'s responsibilities with ICC include business development, valuation and strategic consulting, as well as day-to-day account management. He has spent years developing a highly predictive, quantitative approach to shareholder relations and services and has strategically contributed to numerous clients on issues including business ethics, institutional targeting, dealing with the market in a crisis, and intellectual branding.
